Washington M&A Overview — Business Sale Activity for M&A Targets
In Q1 2026, Washington-based target companies recorded 64 M&A transactions, with aggregate disclosed transaction value of approximately $3.55 billion across nine transactions with numeric values in the source data. The $1.9 billion acquisition of three Washington power plants and related utility operations represented approximately 53.6% of total disclosed value; excluding that transaction, disclosed value totaled approximately $1.65 billion. Strategic acquirers accounted for much of the activity, alongside financial sponsors and institutional investors such as Altaris, EXA Capital, MetLife Investment Management, and Manulife. Buyers were predominantly headquartered outside Washington, while application software, asset and wealth management, and construction and engineering were the quarter’s most active sector themes, reinforcing Washington’s breadth as a market for strategic and sponsor-backed exits.
The quarter’s largest transaction was the $1.9 billion agreement by Portland General Electric, Manulife Infrastructure Fund III, and John Hancock Life Insurance Company to acquire three power plants and related Washington utility operations from PacifiCorp, creating a jointly owned energy platform led by Portland General Electric. Technology produced another major transaction with Accenture’s $1.2 billion agreement to acquire Seattle-based Ookla, adding brands including Speedtest, Ekahau, Downdetector, and RootMetrics. In aerospace and industrials, Loar Holdings acquired Renton-based Harper Engineering Company for $250 million, adding approximately 85 employees across two Seattle-area facilities. Real-estate activity included MetLife Investment Management’s $84 million acquisition of Westlake Center Office Tower and Felton Properties’ $49 million acquisition of Redstone I, while Vireo Growth’s acquisition of Vancouver-based Hawthorne Gardening Company carried a $49 million value in the source transaction-value field.
The quarter reinforced Washington’s diverse exit environment, with multibillion-dollar infrastructure and technology transactions occurring alongside sustained middle-market activity in software, professional services, engineering, wealth management, healthcare, and industrial businesses. For founder-owners and sponsors evaluating strategic alternatives, the quarter demonstrated a broad buyer universe extending well beyond the state, with both strategic acquirers and institutional capital pursuing Washington assets across a wide range of transaction sizes.
