Texas — Business Sale Overview

In Q1 2026, Texas-based target companies recorded 209 M&A transactions, with aggregate disclosed value of approximately $54.08 billion across the 32 transactions reporting values. Buyer activity included major strategic acquirers alongside institutional sponsors, with Texas-based buyers complemented by a broad pool of out-of-state and foreign capital. Industrials led transaction volume with 59 deals, followed by Technology, Media & Telecommunications with 43 and Financials with 28, while Health Care and Consumer businesses also generated meaningful activity. The breadth of sectors and buyer types reinforced Texas as a durable seller and exit market for private companies, public companies and operating assets.

By disclosed value, energy produced the quarter’s largest transaction, with Devon Energy acquiring Houston-based Coterra Energy at approximately $25.52 billion based on the Transaction Value column. Technology and media activity included Mubadala Capital and TWG Global Holdings’ approximately $7.64 billion acquisition of San Antonio-based Clear Channel Outdoor and Texas Instruments’ approximately $7.56 billion acquisition of Austin-based Silicon Laboratories. Financial-sector activity included Prosperity Bancshares’ approximately $2.0 billion acquisition of Houston-based Stellar Bancorp and KKR’s approximately $1.76 billion acquisition of Dallas-based Arctos Partners. Other marquee transactions included Saltchuk Resources’ approximately $1.36 billion acquisition of Houston-based Great Lakes Dredge & Dock, Monomoy Capital’s $1.3 billion acquisition of Houston-based Jiffy Lube International, Kinderhook Industries’ approximately $1.24 billion acquisition of Dallas-based Enhabit, and CECO Environmental’s approximately $1.22 billion acquisition of Austin-based Thermon Group. The three largest disclosed transactions represented roughly 75% of the quarter’s aggregate disclosed value.

The quarter reinforced both the scale and diversity of Texas M&A activity. Large-cap strategic combinations drove most disclosed dollar value, while the underlying transaction count reflected a deeper middle-market market across industrial services, software, insurance, wealth management, healthcare, energy services and consumer businesses. For founder-owners and sponsors evaluating an exit, the activity points to a market supported by both strategic consolidation and financial-buyer demand rather than any single buyer class or sector.
